1. Software Status & Non-Brokerage Distinction

Welcome to CDA Markets ("Platform", "Software Suite", "We", "Us", or "Our"). By accessing, registering for, or operating our educational interface, algorithmic trading engines, or analytical sandboxes, you accept and agree to be bound by these Terms of Use.

CRITICAL DISTINCTION: CDA Markets is strictly a financial technology and educational software system. CDA Markets is not a financial broker, dealer, fund manager, investment advisor, or liquidity provider. We do not take deposits, clear market transactions, hold retail client funds, or provide direct market execution services.

2. Financial Risk & Non-Advisory Disclaimer

Trading financial instruments involves significant financial risk and may not be suitable for all investors. The content, automated algorithms, and educational feedback provided by our platform do not constitute financial, investment, legal, or tax advice.

• No Guaranteed Outcomes: Past performance backtests or historical simulation results within the software do not guarantee future live execution outcomes.
• Independent User Decisions: Any decision to connect third-party brokerage accounts or deploy automated strategies live rests entirely on your personal judgment.
• Capital Protection Responsibilities: You remain solely responsible for managing position sizing and applying risk controls outside of our simulated environment.

3. Licensing & Account Usage Rules

Upon registration, CDA Markets grants you a non-exclusive, non-transferable, revocable individual license to utilize our software tools subject to the following operating conditions:

1. You must be at least 18 years of age or the legal age of majority in your jurisdiction.
2. You agree not to reverse engineer, decompile, extract source code, or redistribute platform algorithms.
3. License credentials are strictly personal and may not be shared, rented, or resold to unauthorized third parties.

4. Sandbox & Automated Strategy Execution

The platform provides interactive strategy sandboxes and quantitative execution engines designed to eliminate emotional bias. Automated tools run according to user-defined parameters or pre-coded educational scripts. We assume no responsibility for execution slippage, latency, or outages occurring on third-party broker networks.

5. Milestone Graduation Access Policy

To promote user education and prevent premature capital risk, CDA Markets enforces an internal graduation mechanism. Direct manual trading execution capabilities and live API connectivity features remain locked until you complete the required foundational learning modules and tool competency benchmarks.

6. Intellectual Property Rights

All software architectures, UI glassmorphic components, AI tutor algorithms, educational content, trade mark graphics, and proprietary charting scripts are the exclusive intellectual property of CDA Markets. Unauthorized copying or commercial exploitation is strictly prohibited.

7. Limitation of Liability

To the fullest extent permitted by applicable law, CDA Markets and its officers, developers, or affiliates shall not be liable for any direct, indirect, incidental, consequential, or trading losses arising from your use or inability to use the software system.
